1. Contracting parties and scope
Detailero s.r.o., Company ID (IČO) 29589428, VAT ID (DIČ) CZ29589428, with its registered office at Uralská 689/7, Bubeneč, 160 00 Praha 6, registered in the Commercial Register (obchodní rejstřík) maintained by the Municipal Court in Prague (Městský soud v Praze), Section C, Insert 449023 (hereinafter “Detailero”). Contact phone +420 725 007 632, e-mail info@detailero.com.
These terms and conditions govern the provision of the professional part of Detailero to businesses operating a detailing studio (the “Studio”). The person who creates or accepts the Studio's account declares that they are authorized to represent the Studio.
2. The Detailero service
Detailero provides a cloud-based operating system comprising in particular a calendar and bays, jobs, clients, vehicles, internal notes, employees and roles, an invoicing tool, templates and sending of messages, statistics, a public profile, inquiries, reviews and entries of selected services in the global VIN history.
Detailero is not a provider of detailing services, a representative of the Studio or a party to the Studio's contract with a customer. The Studio itself determines the price, offer, date, method of performance, complaints and tax obligations.
3. Registration, approval and publication
An account can be created with an e-mail and password or through Google or Apple. The Studio completes its company and billing details no later than before payment. Detailero may verify the identity, Company ID (IČO), business premises and authorization of the person acting on behalf of the Studio.
The public profile is subject to approval by Detailero. To be displayed on the map, the Studio must have an active subscription, an approved profile and at least one approved photo. Detailero may request the correction of incomplete or untrue information.
4. Users and access rights
The Studio may register a staff member only as a name assigned to jobs or set up their own access for them. The roles are in particular owner, administrator and staff member. The owner is responsible for assigning permissions, removing access when cooperation ends and the conduct of persons using the Studio's account.
Detailero may technically delimit the features of individual roles. Invoicing, campaigns, the subscription, user management and fundamental changes to the profile are intended only for the owner or an administrator.
5. Subscription and payments
The service is provided in a single paid plan for CZK 1,499 per month or CZK 15,999 per year. The stated prices include VAT unless the checkout or tax regulations determine a different regime. For a Slovak or other cross-border B2B customer, the tax regime is determined according to the billing details, the VAT ID (DIČ) and the applicable place-of-supply rules.
Payment is made through Stripe. The subscription renews automatically for a further period of the same length until the Studio cancels it in the Stripe customer portal. Cancellation takes effect at the end of the paid period; until then, the service remains available.
A discount code adjusts the price or the duration of the discount according to the conditions stated when it is applied. It cannot be exchanged for money and cannot be combined unless stated otherwise.
If a payment fails, we may notify the Studio, retry the collection and reasonably restrict paid features or hide the profile from the map. We do not delete CRM data right away. The Studio is responsible for keeping its payment and billing details up to date.
6. Invoicing tool
Detailero makes it possible to generate PDF invoices on behalf of the Studio and to export them individually or for a chosen period. The Studio sets the numbering series, supplier details, items, prices and due date and is responsible for the correctness, completeness, continuity of the numbering series, tax regime, archiving and corrections of documents. Detailero is not an accountant or tax adviser.
7. CRM data and the Studio's instructions
The Studio is the controller of the personal data of its clients and employees entered into the professional part. To that extent, Detailero is a processor and processes the data in accordance with the Data Processing Addendum , which forms part of the agreement.
The Studio may enter only data that it is entitled to process. Without a necessary reason, it must not keep in free-text notes special categories of data, disproportionate assessments of persons or data unrelated to the care of the vehicle and the business relationship.
8. E-mails, reminders and campaigns
Job confirmations and organizational messages may be sent as transactional communication. A service reminder may be a commercial communication depending on its content. Campaigns, discount offers and seasonal greetings are commercial communications.
The Studio is responsible for the legal ground, the record of consent or of the conditions of the customer exception, the content of the message, the identification of the sender and the selection of recipients. Detailero provides a record of marketing permission and automatic unsubscribing; a contact marked as unsubscribed must not be included again without a new demonstrable permission.
The Studio must not send a campaign to all contacts merely because their e-mail once appeared in the calendar. For Czech and Slovak recipients, it must also respect the relevant rules on electronic communications.
9. Public profile and Studio content
The Studio may publish its name, logo, description, contacts, address, opening hours, services and photos. The Studio confirms that it holds the necessary copyright and other rights to the content and the consents of persons shown in the photos; the same applies to visible license plates and other identifiers.
The Studio grants Detailero a non-exclusive, royalty-free license to store, reformat, display and promote the public profile for the duration of the agreement. Detailero may refuse, hide or remove illegal, misleading, low-quality or unauthorized content.
10. Inquiries and the relationship with the customer
Detailero passes the inquiry data to the Studio. For its handling of the inquiry and the subsequent business relationship, the Studio becomes an independent controller of the data. It is obliged to inform the customer about its processing and to use the data only to the extent permitted by law.
An inquiry is non-binding. The Studio is responsible for its response, offer, contract, work, communication, payment and complaints. Detailero does not decide disputes between the Studio and the customer.
11. VIN history
A Studio with an active published profile may enter into the global VIN history only a service that it actually performed, its date and its own identity. It must not enter services that were not performed, misleading or duplicate services, or use someone else's VIN.
The VIN history is available to signed-in Studios and to a customer who has a vehicle with the given VIN in their garage. The Studio acknowledges that its name and the service performed will be linked to the given VIN in this way. It must report an incorrect entry to Detailero promptly. Detailero may verify, correct, hide or remove the record.
12. Reviews and ratings
A review may be added only by a signed-in customer linked to a completed job. The Studio may reply to a review and report it, but must not force the customer to remove legitimate criticism, create fake reviews or reward only positive ratings.
13. Ranking and highlighting
The basic main ranking parameter for studios is the distance from the location entered or permitted by the customer. Results may also be influenced by the availability of the profile, the selected service filter and the technical relevance of the query. A rating by itself does not override distance, unless stated otherwise in the service.
If Detailero introduces paid highlighting or a top position, the result will be clearly labeled and the terms will explain the effect of payment on the ranking before launch.
14. Moderation, restriction and suspension
Detailero may restrict a feature, hide a profile, remove content or suspend a Studio, in particular in the event of non-payment, fraud, fake reviews, untrue VIN records, infringement of the rights of third parties, a security incident or another serious breach.
Where possible, the Studio will receive a warning and a period to remedy the situation. In the case of a serious or imminent risk, Detailero may intervene immediately. Detailero will provide a statement of reasons on a durable medium, unless prevented by law, security or repeated breaches. The Studio may request an appeal at support@detailero.com.
15. Data after termination
Until the end of the subscription, the Studio may download invoices and available exports. When the account is deleted, its active CRM data are permanently removed after 30 days, during which they can be restored or invoices handed over on request; technical backups are overwritten within seven days of erasure at the latest. Data that Detailero must retain to comply with a legal obligation or to defend claims will be restricted and retained only for the necessary period.
Global VIN records are preserved as the vehicle's history; after the Studio ceases to exist, they are shown only with its name and a note that the Studio no longer operates; the Studio's other data are removed, except for the identifier of its business location in Google Maps. The public profile and unpublished content are removed or hidden.
16. Availability, support and liability
Detailero does not aim for a guaranteed SLA and may carry out maintenance. The Studio reports critical incidents and loss of access at support@detailero.com. To the extent permitted by law, Detailero's liability for damage caused by ordinary negligence is limited to the amount paid by the Studio for the last 12 months; the limitation does not apply to harm caused intentionally or by gross negligence, or to liability that cannot be excluded.
17. Changes to the terms
We will notify the Studio of material changes on a durable medium at least 15 days before they take effect; if a change requires technical or business adaptation, we will provide a reasonably longer period. The period does not apply to a change required by law, due to an imminent cybersecurity risk or if the change is exclusively in favor of the Studio. Changes have no retroactive effect.
18. Termination of the agreement
The Studio may cancel the subscription in the Stripe portal; the agreement ends upon expiry of the paid period. Detailero may terminate the agreement by ordinary notice of at least 30 days, stating the reasons. Immediate termination is possible in the event of a legal obligation, an urgent reason or repeated serious breaches of the terms.
19. Governing law and contact
The agreement is governed by Czech law, and disputes are resolved by the courts of the Czech Republic having subject-matter and territorial jurisdiction. This does not affect mandatory rules applicable to the cross-border provision of the service. Business contact: info@detailero.com, phone +420 725 007 632; support, complaints and appeals: support@detailero.com.
20. The Studio's full responsibility for its business
The Studio acts in its own name, for its own account and at its own responsibility. It is responsible in particular for its business authorization, identification and consumer information, price lists and offers, the conclusion and performance of contracts, the professional performance of services, the care of the vehicle taken over, damage to the vehicle, complaints, insurance, taxes, accounting, employees and compliance with Czech, Slovak or other applicable law.
Detailero is not a commercial agent, an attorney-in-fact, a co-organizer of the job, a guarantor of the Studio or a collection point for detailing payments. It does not continuously verify every authorization, statement, price, availability or professional quality of the Studio and does not assume its debts towards the customer.
21. Responsibility for data, notifications and marketing
The Studio determines the purpose and content of CRM records, invoices, templates, confirmations, follow-ups and campaigns. It is responsible for the correctness of addressees, the legal ground, the fulfillment of information obligations, the demonstrability of consent or of the customer exception, the labeling of commercial communications, the identification of the sender and respecting every unsubscribe. Detailero is the technical processor of the sending according to the Studio's instruction; this does not affect Detailero's liability for its own technical and statutory obligations as a sender.
The Studio will indemnify Detailero for justified claims of third parties, sanctions imposed by a final decision and reasonably incurred costs arising from a breach of these obligations by the Studio, its staff member or content entered by it, unless the damage was caused by Detailero's own illegal conduct. Detailero will inform the Studio of the claim and enable it to provide reasonable assistance in the defense.
22. Access to data and its use
During an active account, the Studio has access to its own CRM data, jobs, clients, vehicles, employees and invoices through the available features. Detailero has technical access to the extent necessary for operation, security, support, bug fixing, compliance with a legal obligation and aggregated statistics that do not identify the Studio's clients.
Detailero does not provide CRM data to other Studios or use them for their direct marketing. Public profiles, reviews and the global VIN history are separate platform data layers. Export options correspond to the features currently offered; before deleting the account, the Studio must download the available invoices and supporting documents that it must archive itself.
23. Studio complaints and the P2B procedure
The Studio may lodge a complaint free of charge at support@detailero.com, in particular concerning a technical problem, a measure taken against its profile or content, or Detailero's conduct. It states the account, a description and the requested solution. Detailero will assess it within a reasonable time, communicate the result and keep an internal overview of recurring problems.
If Detailero meets the conditions of a micro or small enterprise, the obligation to operate an internal complaint-handling system and to identify mediators under Articles 11 and 12 of the P2B Regulation does not apply to it; it provides the procedure described voluntarily. If the exemption ceases to apply, the document will be supplemented with the statutory mediators and the full process before the terms are used further.
24. Moderation and transparency
Detailero does not carry out general prior monitoring of all content. It may use manual checks of profiles and photos, user reports and reasonable technical means against spam and fraud. The restriction of content is governed by its lawfulness, these terms, its severity, reach, repetition and the risk to users.
When restricting content or a profile, Detailero will provide a specific statement of reasons and the options for appeal and, where required by law, will preserve the notice on a durable medium. A statutory obligation to remove or block content cannot be overturned by a contractual objection of the Studio.
25. Studio warranties
The Studio represents and warrants that it has the rights and consents to the photos, logo, texts, persons and license plates in the content; that a VIN entry corresponds to a service actually performed; that it does not manipulate reviews; that it obtained the customer and employee data lawfully; and that every message it launches corresponds to the recorded marketing status. Detailero is entitled to request reasonable evidence and, if it is not provided, to restrict the feature or content.
26. Definitions and independent status
“CRM data” means non-public data entered by the Studio for its operations. “Platform data” means accounts, profiles, inquiries, reviews, moderation, technical telemetry and the global VIN history, the purposes of which are determined by Detailero. “Staff Member” means a person invited by the Studio with a login or registered without access. The Studio and Detailero are independent businesses; no partnership (společnost), agency, franchise, employment relationship or authority to bind the other party is created.
27. Confidentiality
Each party protects the non-public business, technical and customer information of the other party, uses it only for the agreement and discloses it only to persons bound by confidentiality. The obligation does not apply to information that is public without a breach of the agreement, demonstrably known in advance, independently developed or required by law. CRM data are always confidential.
28. Account security and staff members
The Studio is responsible for all instructions given through its account, the management of roles, secure sign-in and the immediate removal of access for departing persons. Sharing one login among several people is prohibited. The Studio must promptly report any suspected compromise and change the access credentials. Detailero may temporarily block risky access.
29. Availability, beta features and changes to the service
Unless an SLA is expressly agreed, Detailero does not guarantee a specific availability percentage or the remedy of a defect within a fixed period. Features labeled as beta or test features may be incomplete and may change; the Studio must not use them as the sole basis for critical legal, accounting or security acts. A material restriction of the paid core will be announced reasonably in advance.
30. Intellectual property, license and feedback
Detailero retains the rights to the platform, documentation, database structure and brand. For the duration of the agreement, the Studio obtains a non-exclusive, non-transferable authorization to use the service internally and to manage its public profile. It must not resell or copy the service, circumvent limits, extract it by automated means or make it available to a competitor for the purpose of creating an imitation.
The Studio grants a license to its public profile, logo, photos and texts for their hosting, technical adjustment, search, previews, promotion of the profile and distribution in Detailero's channels. Detailero may use voluntary suggestions for improvement free of charge, provided that it does not thereby disclose the Studio's confidential information.
31. Third-party claims
The Studio will promptly inform Detailero of a claim concerning its service, customer, data, campaign, invoice, photo, review or VIN entry, preserve the supporting documents and provide assistance. Detailero must not acknowledge a claim exclusively at the Studio's expense without the Studio's consent, unless this is necessary to avert imminent harm or to comply with a statutory obligation.
32. Taxes, records and independent backups
The Studio itself assesses VAT, the cross-border regime, mandatory particulars and statutory archiving. The invoicing feature is not an accounting service or a guarantee of compliance. The Studio maintains its own copies of data and documents whose preservation is critical for its business or statutory obligations.
33. Assignment and change of control
The Studio must not transfer the agreement or the account to another person without Detailero's consent, except for legal succession notified and documented in advance. Detailero may transfer the agreement as part of a corporate transformation (přeměna), a sale of the business or a change in the group, provided that this does not reduce data protection or the Studio's statutory rights; it will notify the change.
34. Force majeure
Neither party is liable for delay caused by an extraordinary, unforeseeable and insurmountable obstacle beyond its control. The affected party informs the other, mitigates the consequences and resumes performance as soon as possible. The payment obligation for a period already provided and the data protection obligations do not thereby cease.
35. Survival of certain provisions
After the agreement ends, the provisions that by their nature are intended to survive remain in effect, in particular those on payment of debts, confidentiality, intellectual property, liability, compensation, retention of legal records, dispute resolution and the global VIN history.
36. Entire agreement, severability and waiver
The contractual documents presented at registration form the entire agreement on the Detailero service. An invalid part is replaced by a valid solution closest to its purpose and the rest remains effective. Failure to exercise a right does not constitute a waiver of it. In the event of a conflict, the Data Processing Addendum takes precedence for the processing of CRM data, and an individually negotiated written agreement takes precedence to the extent of an express deviation.
37. The Studio's statutory information to customers
Detailero's terms and privacy policy govern the platform, not the detailing Job or independent processing carried out by the Studio. The Studio itself is responsible for providing the customer, at the right moment and in an appropriate manner, with the information required by legal regulations. Detailero does not require these documents or links to be a public part of the Studio's profile.
38. Contact import and migration
In a manual or bulk import, the Studio confirms that it obtained the contacts lawfully, fulfilled the information obligation and preserved marketing preferences and unsubscribes. An import does not change the legal ground or create consent. The Studio must not use an import to circumvent the suppression list or to combine data of unrelated controllers.
39. Client requests and allocation of responsibility
A request concerning a Detailero account, a public review, the inquiry platform or the global VIN history is handled by Detailero within the scope of its role. A request concerning a client card, an internal note, a job, an invoice, an employee or a campaign of the Studio is handled by the Studio as the controller; Detailero provides it with technical assistance in accordance with the Data Processing Addendum .
